Attorney’s Fees. If either party shall institute any action or proceeding against the other relating to any of the terms, covenants, conditions or provisions of this Sublease, or there occurs any default by either party, the unsuccessful party in such action or proceeding shall reimburse the successful party for reasonable attorney’s fees and other costs and expenses incurred therein by the successful party, including fees, costs and expenses incurred in any appellate proceeding.

Attorney’s Fees. In the event of any dispute between the parties concerning the terms and provisions of this Warrant, the party prevailing in such dispute shall be entitled to collect from the other party all costs incurred in such dispute, including reasonable attorneys’ fees.

Agent’s Fees. The Borrower shall pay to the Agent for its own account such fees as may from time to time be agreed between the Borrower and the Agent.

No Broker. ​ has not dealt with any broker, investment banker, agent, or other person, except for ​, who may be entitled to any commission or compensation in connection with the sale of Purchased Assets pursuant to this Agreement.

No Broker. Landlord and Tenant represents and warrants to the other that it dealt with no agent or broker in bringing about or procuring this Agreement. Each of Landlord and Tenant hereby indemnifies and holds the other harmless from any and all claims, demands, suits, judgments and costs, including reasonable attorneys’ fees, which may arise out of the failure of this representation and warranty by such party.

No Broker. Neither Narrate, nor any of its managers, members, agents, representatives or employees, as applicable, has employed or engaged any broker or finder or incurred any liability for any brokerage fees, commissions or finders' fees in connection with the transactions contemplated by this Agreement.

Broker-Assisted. By delivering a properly executed exercise notice to the Company together with a copy of irrevocable instructions to a broker to deliver promptly to the Company the amount of sale or loan proceeds necessary to pay the exercise price and the amount of any required tax or other withholding obligations.

Broker Commissions. Each Party shall be responsible for commissions, fees and expenses of brokers and agents engaged by or claiming through or under it in connection with the Transaction.

No Broker. No broker, investment banker or other person is entitled to any broker’s, finder’s or other similar fee or commission in connection with the execution and delivery of this Agreement or the consummation of any of the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Option Holder.

Tenant represents, warrants and confirms to and for the benefit of Owner that it has dealt with no broker in connection with this Amendment and the matters contemplated hereby. Tenant hereby agrees to indemnify and save Owner harmless of, from and against any and all claims (including all expenses and fees, including reasonable attorneys’ fees, related thereto) for commissions, fees or any other compensation made by any broker or entity against Owner by reason of Tenant’s breach of the representation and warranty made by Tenant in the first sentence of this Article. The provisions of this Article shall survive the Expiration Date.
